By accessing this Website or when you place orders to purchase any of the products on the Website you agree to be bound by these Terms. We recommend that you keep a copy of these Terms for future reference.

You are granted a limited, non-exclusive, revocable and non-transferable license to utilize and access the Site pursuant to the requirements and restrictions of these Terms of Use. VIVANDI GENERAL TRADING LLC may change, suspend, or discontinue any aspect of the Website at any time. VIVANDI GENERAL TRADING LLC may also, without notice or liability, impose limits on certain features and services or restrict your access to all or portions of the Website. You shall have no rights to the proprietary software and related documentation, if any, provided to you in order to access the Website. Except as provided in the Terms of Use, you shall have no right to directly or indirectly, own, use, loan, sell, rent, lease, license, sublicense, assign, copy, translate, modify, adapt, improve, or create any new or derivative works from, or display, distribute, perform, or in any way exploit the Website, or any of its contents (including software) in whole or in part.

We reserve the right to change or modify these Terms including for legal, regulatory or security reasons at any time. Whilst we will flag changes on the Website and/or send emails in relation to major changes, it is your responsibility to check the Terms for changes. 4. The ordering process and order confirmation

Your online purchase order constitutes an offer to us to buy the products you select from the Website. All orders are subject to availability and to acceptance by us. We reserve the right to refuse to accept an order. We will send you an email acknowledging receipt of your order. All communications will be addressed to the email address you supply when you register. Please note that this does not constitute acceptance by us. The contract for purchase of the product is formed when we send you an email dispatch confirmation.

You may select items from our range of products, details of which will be added to the "Shopping Cart" by clicking on the "Add to Cart" button. By clicking on the "Checkout" button in the Shopping Cart, you submit an offer to buy the goods in the Shopping Cart.

Before placing an order, you can view and amend your order details at any time by clicking on the "Shopping Cart".

You will automatically be sent an email confirming receipt of your order (the "Confirmation Email") with a summary of the details of your order, which we would recommend that you print out and keep for your own records. The Confirmation Email does not constitute our acceptance of your order, it merely records the fact that we have received your order. Please check that all details in the Confirmation Email are correct. If not, or if you do not receive a Confirmation Email please contact us immediately at info@vivandi.ae

5. Registering for a personal account

To make it easier for you to order products using the Website, we offer you the opportunity to register for a personal account. If registered any personal data that you provide us with during the registration process will be stored in our database and it will be entered into the order form automatically.

To register, you must supply us via the online registration form with the following information: your name, gender, age range, referral details, password, billing address and, where applicable, different delivery address. Once you click on the "Next Step" button this information will be stored in our customer database. You can access, update or correct your personal account details via the "My Account" button. We will only use the stored data in accordance with our Privacy Policy. You are responsible for maintaining the confidentiality of your password and user name and are responsible for all activities that are carried out under them. We do not have the means to check the identities of people using the Website and will not be responsible for losses suffered by you where someone else uses your password or user name unless this is due to our negligence. You agree to notify us immediately by email to info@vivandi.ae or by phone on 04 335-3839 if you become aware or suspect any unauthorized use of your password or username.

6. Your use of the Website

By accepting the terms you confirm that all information and details provided by you to us (including on registration) are true, accurate and up to date in all respects and at all times.

You agree that in using the Website you will not:
(i) use the Website in any way that causes, or is likely to cause the site or access to the site to be interrupted, damaged, or impaired in any way;
(ii) use the Website for any purpose that could damage the name of www.vivandi.ae or VIVANDI General Trading LLC or any goodwill attached to the Website;
(iii) use the Website for criminal, fraudulent or illegal activity or in any manner which would cause harm or distress to any third party; (iv) access or attempt to access the accounts of other users or attempt to penetrate the Website security measures; nor (v) use the Website for any purpose other than your personal use.

We reserve the right to suspend, restrict or terminate your access to the Website at any time without notice if we have reasonable grounds to believe that you have breached any of these restrictions or if we suspect fraudulent account activity or behavior. This shall not limit our right to take any other action against you that we consider appropriate.

NO COMMERCIAL USE. This Website may not be used by you for any commercial purposes such as to conduct sales of merchandise or services of any kind. You must obtain VIVANDI GENERAL TRADING LLC’s prior written consent to make commercial offers of any kind on the Website, whether by advertising, solicitations, links, or any other form of communication. VIVANDI GENERAL TRADING LLC will investigate and take appropriate legal action against anyone who violates this provision, including without limitation, removing the offending communication from the Website and barring such violators from use of the Website.

7. Prices, Delivery Charges and Payment

The price of a product shall be as stated on this Website at the time you place your order except in the case of obvious error. We try and ensure that all prices on our Website are accurate but errors may occur. If we discover an error in the price of a product you have ordered, we will not be liable to supply that item to you at the stated price, provided that we notify you before we dispatch the item to you. In those circumstances, we will inform you of the correct price as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If you cancel, no payment will be taken from your card.

We accept payment by debit or credit card via PayPal and Cash on Delivery (COD) only. COD is only applicable for deliveries within the U.A.E. Payment will be debited from your account at the time of or shortly after the order has been placed by you.

You confirm that the credit/debit card that is being used is yours. All credit/debit cardholders are subject to validation checks and authorization by the card issuer. Fraudulent use of credit cards will be reported to the relevant authorities. If the issuer of your card refuses to authorize payment, we will not accept your order and we will not be responsible for any delay or non-delivery and we are not obliged to inform you of the reason for the refusal.

We are not responsible for your card issuer or bank charging you as a result of our processing of your credit/debit card payment in accordance with your order.

8. Voucher / Discount codes

From time to time we issue voucher / discount codes. We have a voucher / discount code box situated at the "Checkout" where codes can be entered. You must take care when entering codes as they are case and space sensitive.

You may only redeem one code at a time so we advise you to choose the promotion best suited to your purchase. Voucher / Discount codes cannot be used in conjunction with any other offer including sale items. If you have any questions about the voucher / discount codes please email info@vivandi.ae

9. Delivery and Ownership

We accept orders for GCC delivery. Unless otherwise stated, delivery will be made from our warehouse to the address provided by you. We shall endeavor to dispatch the product to you within one working day of you placing your order and in any event within 14 days beginning on the day after you place your order.

If we are unable to dispatch the product within that time we will email to let you know and to give you an estimated delivery date. In these circumstances you have the right to cancel the order and receive a full refund.

As soon as the product is delivered to you, you are responsible for it.

Orders AED 200 and over always deliver for free—no promotion code needed. For orders totaling less than AED 200, there is a delivery charge of AED 20 for Standard 3 Day delivery. Our standard delivery option is Standard 3 Day delivery.

MULTIPLE DELIVERIES

A Single order maybe split into multiple shipments, depending on the availability of the item and / or weight limits for parcels by the courier/postal company. The cardholder should be aware of the possibility that multiple shipments may result in multiple postings to the cardholder’s monthly statement. To ship to multiple addresses, call Customer Service for assistance at +9714 335 - 3839. Our business hours are from Sunday to Thursday, 9:00 am to 6:00 pm (UTC+04:00).

BUSINESS DAYS & HOLIDAYS

All orders ship Sunday-Thursday, excluding holidays within the United Arab Emirates. For Standard 3 Day delivery, 2 Day and 1 Day Shipping: orders must be placed by 12:00 pm to be processed on the same business day otherwise it will be processed the next day.

TRACKING ORDERS

When your order is ready to be shipped, you will receive a shipment confirmation e-mail. The majority of our orders are shipped within 1-2 business days after the order has been placed. The e-mail will contain shipment details, your tracking number, and a link to the selected carrier site. To track the order, click on the tracking number in the e-mail.

11. Legal obligations and our Limitation on Liability

You have certain rights under the law. These include that any products supplied by us will be of satisfactory quality, fit for their intended purpose and within expiration timeline. We do not accept any liability for death or personal injury caused by the products sold on our website or any of its contents. Any such claims must be addressed with the concerned brand’s principal.

If we breach these Terms, we shall only be liable for losses, which are a reasonably foreseeable consequence of such a breach, up to a maximum of the purchase price of your order (i.e product is outside expiry date).

With current technology it is not possible to develop and operate computer programs (software) and data processing systems (hardware) entirely without error, or to rule out any unpredictable events in connection with the Internet. We provide no guarantee for the constant and uninterrupted availability of the Website.

We are not responsible for:

• Losses not caused by our breach;

• Indirect losses which are a side effect of the main loss or damage and which are not reasonably foreseeable by you and us at the time of entering into this agreement, for example loss of profits or loss of opportunity;

• Failure to provide the Website or to meet any of our obligations under this agreement where such failure is due to “Events Beyond Our Control”.

• "Events Beyond Our Control" means any cause beyond our reasonable control which prevents us from providing the Website or fulfilling any of our other obligations under this agreement and includes but is not limited to fire, flood, storm, riot, civil disturbance, war, nuclear accident, terrorist activity and acts of God.

12. Copyright and Other Intellectual Property Rights

Your use of the Website grants no rights to you in relation to copyright, design rights, trade marks or other of our intellectual property rights (or the intellectual property rights of third parties).

We provide the Website to you solely for your personal, non-commercial use. You may electronically copy and print only those areas of the Website which are required in the process of using the Website as a shopping resource. The content of the Website may not be used for any other purpose without our express written permission.

VIVANDI GENERAL TRADING LLC may terminate the privileges of any user who uses this Website to unlawfully transmit copyrighted material without a license, express consent, valid defense or fair use exemption to do so. If you submit information to this Website, you warrant that the information does not infringe the copyrights or other rights of third parties.

VIVANDI GENERAL TRADING LLC is not responsible for the content, quality or accuracy of data provided by users or compilations of such data, text, information and other materials made available to users through VIVANDI GENERAL TRADING LLC’s system. The online materials are VIVANDI GENERAL TRADING LLC’s intellectual property, and are protected by international intellectual property laws. You agree to indemnify and hold VIVANDI GENERAL TRADING LLC, its subsidiaries, affiliates, officers, agents and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of or relating to your use of the Website, including also your use of the Website to provide a link to another site or to upload content or other information to the Website, or your breach of the Terms of Use.

LICENCE GRANTED TO YOU. By providing materials to VIVANDI GENERAL TRADING LLC, including by submitting or uploading content or materials for use on the Website you represent and warrant that you or the owner of all rights to such content or materials has expressly granted VIVANDI GENERAL TRADING LLC an irrevocable world-wide right in all languages and in perpetuity to use and exploit all or any part of the content and materials provided by you. VIVANDI GENERAL TRADING LLC may publish and distribute any such submitted content or materials at its sole discretion by any method now existing or later developed. You agree that you shall waive all claims and have no recourse against VIVANDI GENERAL TRADING LLC for any alleged or actual infringement or misappropriation of any proprietary rights in any communication, content or material submitted to VIVANDI GENERAL TRADING LLC. 13. Disclaimer of warranty, limitation of damages

VIVANDI GENERAL TRADING LLC makes no warranty or representation of any kind, either express or implied, including but not limited to warranty of title or non-infringement or implied warranty of merchantability, fitness for a particular purpose, non-infringement or other violation of rights in relation to the availability, accuracy, validity, reliability or content of these pages and/or the site. VIVANDI GENERAL TRADING LLC also does not make any representation or warranty regarding the accuracy or reliability of any advice, opinion, statement or other information that is submitted, displayed or uploaded through the site by any user. VIVANDI GENERAL TRADING LLC shall not be liable for any direct, indirect, incidental, special or consequential damages, and lost profits or for business interruption arising out of the use of or inability to use this site, even if VIVANDI GENERAL TRADING LLC has been advised of the possibility of such damages. VIVANDI GENERAL TRADING LLC controls this Website from the U.A.E. VIVANDI GENERAL TRADING LLC makes no representation that this Website is appropriate for use in other locations. If you use this Website from other locations you are responsible for ensuring compliance with local laws. You may not use, export or re-export any materials from this Website in violation of any applicable laws or regulations, including, but not limited to any U.A.E export laws and regulations.

14.3 Purchases

VIVANDI GENERAL TRADING LLC accepts payment by Visa or Mastercard debit and credit cards in mentioned currencies by PayTabs for its products and services. All online purchases are also governed by the terms and conditions of respective merchant service providers. If any provision of the Terms of Use is held to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect.
